These Terms of Service ("TOS") govern your (hereafter "you", "your", "user") use of the products and services available at the website located at the URL www.trendmd.org (the "Site").
As further described below, the Site features TrendMD’s proprietary recommendation technology in its various forms (collectively, the "Service", or "Software"), which may be used on the Site, or on your website or your affiliated websites via any software code that we may make available to you from time to time (such user is hereinafter, a "Partner"), used in accordance with these Terms of Use.
"TrendMD" (hereafter "we," "us," or "our") refers to
- this website, including its subdomains and any other website through which TrendMD makes its Service available;
- the Application Program Interfaces (API);
- the Service;
- any applications, sample and content files, source code, scripts, instruction sets, or software included as part of the Service, as well as any related documentation;
By accessing this Site or using any part of the Service, you agree to be bound by these TOS. If you do not agree to all of these TOS, then you may not access the Site or use the Service. Your right to use the Site and the Service is expressly conditioned upon your assent to all of these terms, to the exclusion of all other terms. The Service is available only to individuals who are at least 18 years old, whether acting on their own behalf or as an authorized employee or representative of a corporation or other business entity.
These terms govern your use of any other related Agreement or legal relationship with TrendMD in a legally binding way.
To be able to use the Services, Users must be recognized as adults by applicable law.
Description of Services
Through our Site, you can choose from various Services we offer. These Services include providing hyperlinks to peer-reviewed articles and/or content from accredited journals or websites, displayed via our Software. Users of your website can access this content, which you provide and promote through our Services. You also get access to the TrendMD Dashboard ("Dashboard"), where you can view data and adjust certain Service settings.
- We collect, analyze, and store your content:
- Our Software uses automated tools called "robots" or "crawlers" to fetch your files for recommendations. Your website must be structured to allow this, either by being "crawled" or through an API. The crawlers need to discover and fetch the URLs of your designated articles.
- Our Software crawls publicly available content from your registered websites.
- If given access, our Software indexes non-publicly available content via an API you provide.
- We download publicly and/or non-publicly available content (e.g., abstracts, full articles).
- We store publicly available content in a private database.
- Our Software uses automated tools called "parsers" to identify bibliographic data and references between papers. Incorrect identification can lead to poor indexing, such as documents not being included, incorrect author names or titles, and lower search rankings. To avoid these issues, bibliographic data and references should be provided in a way that the parsers can process.
- We use this data to improve future recommendations on your registered websites.
- Insertion of Recirculation Content: You will use our Software and Services to display links to your Content ("Recirculation Content") on your registered websites. Although TrendMD and its Software aim to provide relevant Recirculation Content, TrendMD does not guarantee the relevance or appropriateness of any Recirculation Content.
- Insertion of Third-Party Promoted Content and Exchange Content: You will use our Software and Services to display links to third-party, published, peer-reviewed, and/or scholarly content ("Third-Party Promoted Content") on your registered websites. Using the dashboard, you can block a certain number of Third-Party Promoted Content sources, or more if negotiated and approved in writing by TrendMD.
- You will earn 0.5 "traffic credits" for each click on Third-Party Promoted Content. These credits accumulate in your Dashboard. One "traffic credit" equals one visitor back to your registered websites through links to your content on third-party sites in the TrendMD Network ("Exchange Content"). You will spend one traffic credit for each click on your Exchange Content. TrendMD will distribute your Exchange Content until your credit balance is 0 credits.
- TrendMD does not guarantee the relevance of the websites displaying your Exchange Content or the Third-Party Promoted Content. This service is provided to you at no charge.
- Revenue share: If your registered website has less than 1 million visitors per month, you must use the Exchange Content service. If your registered website has more than 1 million visitors per month, you will earn a revenue share from clicks on Third-Party Promoted Content. The revenue share ("Revenue Share") will be up to 50% of the net revenues TrendMD actually receives from such traffic, based on a cost-per-click determined solely by TrendMD. Revenue Share payments will be made according to the relevant "Revenue Share" section below.
- If you are earning revenue share from clicks on the Third-Party Promoted Content service, you can terminate the current agreement and remove the TrendMD widget from your website, with or without cause, by delivering a 90-day Notice of Termination. Termination will be effective on the 90th day after TrendMD actually receives the notice. If you uninstall the TrendMD widget from your website within 90 days after filing a Notice of Termination, you will be required to pay for any financial losses caused to TrendMD as a result. TrendMD will determine the actual losses based on its historical website traffic figures.
- Insertion of your Promoted Content: You may choose to use our Software and Services to display links to your Content on other users' websites in the TrendMD Network ("Promoted Content") for a fee negotiated with TrendMD at the time of purchasing traffic credits. You will spend one traffic credit for each click on your Promoted Content. TrendMD will continue to distribute your Promoted Content until either (i) your credit balance reaches 0 credits, or (ii) you disable Promoted Content through the Dashboard. TrendMD does not guarantee the relevance of the websites where your Promoted Content may be displayed.
Account registration
To use the Service, you must register or create a User account and provide all required data or information in a complete and truthful manner. Failure to do so will cause unavailability of the Service.
Users are responsible for keeping their login credentials confidential and safe. For this reason, Users are also required to choose passwords that meet the highest standards of strength permitted by TrendMD.
By registering, Users agree to be fully responsible for all activities that occur under their username and password.
Users are required to immediately and unambiguously inform TrendMD via the contact details indicated in this document if they think their personal information, including but not limited to User accounts, access credentials, or personal data, has been violated, unduly disclosed, or stolen.
Accounts registered by bots or any other automated methods are not permitted. Unless explicitly permitted, a User account may not be shared with other persons.
Maintaining account security is very important. You are entirely responsible for maintaining the confidentiality of the account password. You agree to notify TrendMD immediately if you believe that an account password may have been compromised.
Termination of Service
TrendMD reserves the right to deny service to any person and to reject any Content in TrendMD's sole and absolute discretion for any reason. The Service is offered with the understanding that TrendMD may terminate any account registered to you and/or your access to the Service at any time, for any reason or no reason, including without limitation for any violation of this TOS. TrendMD may stop offering and/or supporting the Service or any portion thereof at any time.
The suspension or deletion of User accounts shall not entitle Users to any claims for compensation, damages, or reimbursement.
You can terminate your account and stop using the Service at any time by using the tools provided on the TrendMD Dashboard.
If you voluntarily terminate an account or allow that account to lapse, you may reactivate that account at any time through the account interface on the Site. Accounts terminated by TrendMD for any type of abuse, including without limitation a violation of this TOS, may not be reactivated for any reason.
Acceptable use
TrendMD and the Service may only be used for the purposes for which they are provided under these Terms and applicable law.
Users are solely responsible for ensuring that their use of TrendMD and/or the Service does not violate any applicable law, regulations, or third-party rights.
Therefore, TrendMD reserves the right to take any appropriate measure to protect its legitimate interests, including denying you access to TrendMD or the Service, terminating contracts, reporting any misconduct performed through TrendMD or the Service to the competent authorities – such as judicial or administrative authorities - whenever Users are suspected to be in violation of any laws, regulations, third-party rights and/or these Terms, including, but not limited to, by engaging in any of the following activities:
- Conduct restrictions:
- pretending to fulfill any possible condition or requirements for accessing TrendMD and/or using the Services, such as, for instance, being an adult according to law or qualifying as a Consumer;
- concealing their identity or stealing someone else's identity, or pretending to be or represent a third-party, if not allowed to do so by such third party;
- manipulating identifiers to disguise or otherwise conceal the origin of their messages or of the content posted;
- defaming, abusing, harassing, using threatening practices, threatening or violating the legal rights of others in any other way;
- promoting activity that may endanger the User’s life or the life of any other User or lead to physical harm. This includes but is not limited to suicide threats or instigations, intentional physical trauma, the use of illegal drugs, or excessive drinking. Under no circumstance is any User allowed to post any content promoting and/or encouraging and/or showing any self-destructive or violent behavior on TrendMD;
- probing, scanning, or testing the vulnerability of TrendMD, including the services or any network connected to the website, nor breaching the security or authentication measures on TrendMD, including the services or any network connected to TrendMD;
- installing, embedding, uploading, or otherwise incorporating any malware into or via TrendMD;
- using TrendMD or the technical infrastructure in an abusive, excessive, or otherwise inappropriate way (for example: for spamming purposes);
- attempting to disrupt or tamper with the technical infrastructure in a manner that harms or places an undue burden on TrendMD or the Service;
- offering Products via TrendMD that cannot legally be sold or that are currently not available for sale (e.g. not in stock);
- manipulating the price of Products offered or failing to deliver Products sold;
- instigating other Users to complete a transaction started on TrendMD outside of TrendMD in order to save any applicable service fees;
- Excessive use of the Service: Using a resource of TrendMD excessively in relation to other Users of TrendMD – in such cases, TrendMD, at its sole discretion, additionally reserves the right to suspend the User’s account or limit the related activity until the User reduces the excessive consumption;
- Excessive use of the API: Sending abusive or excessively frequent requests to the Service via the API. TrendMD will determine what constitutes abuse or excessive usage of the API and additionally reserves the right to temporarily or permanently suspend access to the API by the User. In such cases, TrendMD will make a reasonable attempt to alert the User prior to suspension;
- Commercial use restrictions:
- indicating or trying to imply in any manner, that a User stands in a qualified relationship with TrendMD or that TrendMD has endorsed the User, the User’s products or services, or any third party's products and services for any purpose;
- except as provided in this TOS, you agree that you will not use the Software, the Site, or the Service for any commercial purpose or the benefit of any third party, charge any person, or receive any compensation for the use of the Software, the Site, or Service;
Software license
- License grant: Subject to the terms of this ToU and any corresponding publisher or services agreement, TrendMD grants you a limited, non-exclusive, personal, non-sublicensable, non-assignable license to:
- Download, install, and use the Service and any application program interface or other software code provided by TrendMD ("Software") to develop, reproduce, and distribute promotional capabilities that work with the Site or any other TrendMD-owned web property.
- Use any TrendMD end-user documentation, solely when bundled with the Service.
- Use any upgrades, updates, and new versions of the Software and related Services as described below.
This license includes the right to use any TrendMD intellectual property associated with the Software, the Service, and the end-user documentation, solely for using the Service as described. The Software can only be used in connection with the Service and in accordance with this ToU and any rules, restrictions, or documentation set by TrendMD.
- Third-party software and services: The Software may include technology, software, and services owned and controlled by third parties. Your use of such third-party software or services is subject to the terms and conditions of the applicable third-party license agreements (including terms of use and terms of service posted on third-party websites). You agree to address any issues or rights enforcement directly with the applicable third party and not TrendMD.
All modifications or enhancements to the Software and Service remain the sole property of TrendMD. TrendMD may, at its sole discretion, suspend or terminate any license granted under this agreement and disable any Software you have accessed or installed, without prior notice. TrendMD reserves the right to add or remove features or functions to the Software at any time at its discretion. TrendMD is not obligated to provide you with any subsequent versions of its software applications.
- Proprietary rights: As between you and TrendMD, the Service, the Software, all data and information generated by them, and all intellectual property rights related to the Software, are and shall always remain the sole and exclusive property of TrendMD. They are protected by applicable intellectual property laws and treaties. All data and information related to the Site or collected via the Service on any website shall be the sole property of TrendMD. You acknowledge that you do not acquire any ownership rights in or to the Service or such data; however, you can use the data for internal purposes.
- End-user licensing: For each of your websites and/or software products that use the rights granted herein, you agree to include terms in the website's terms and conditions to ensure that the Service, the Software, and any data and other information generated by them are protected at least as well as (i) your own proprietary software applications and (ii) as protected by these TOS. Additionally, the privacy policy of the applicable website and/or software products should explain that the data and other information generated by the Software and Services are routed to a third party who owns such data without including any personally identifiable information. You agree to include country-specific provisions in the terms and conditions for use outside the United States as needed to comply with the foregoing and to enforce these terms and conditions for the Service, the Software, and any such data contained in the license.

- Links from the Site and Services: The Site may contain, and Services may generate, links to websites operated by other parties, including Promotional Content, Exchange Content, and other user Content. Using these websites is at your own risk. TrendMD does not control these linked websites and is not responsible for their content. These links do not imply TrendMD's endorsement of the information or material on any other website, and TrendMD disclaims all liability regarding your access to and use of such linked websites.
- Links to the Site: Unless otherwise set forth in a written agreement between you and TrendMD, you must adhere to TrendMD's linking policy as follows:
- The appearance, position, and other aspects of the link may not damage or dilute the goodwill associated with TrendMD's and/or its licensors' names and trademarks.
- The appearance, position, and other attributes of the link may not create the false appearance that your organization or entity is sponsored by, affiliated with, or associated with TrendMD.
- When selected by a user, the link must display the Site on full screen and not within a "frame" on the linking site.
- TrendMD reserves the right to revoke its consent to the link at any time and at its sole discretion.

Intellectual property rights
Without prejudice to any more specific provision of these Terms, any intellectual property rights, such as copyrights, trademark rights, patent rights, and design rights related to TrendMD, are the exclusive property of the Owner or its licensors and are subject to the protection granted by applicable laws or international treaties relating to intellectual property.
All trademarks — nominal or figurative — and all other marks, trade names, service marks, word marks, illustrations, images, or logos appearing in connection with TrendMD are, and remain, the exclusive property of TrendMD or its licensors and are subject to the protection granted by applicable laws or international treaties related to intellectual property.
How to file a takedown notice (called a “DMCA Notice”)
If copyright holders or their agents believe that any work on TrendMD infringes upon their copyrights, they may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing TrendMD’s Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
- A physical or electronic signature of a person authorized to act on behalf of the holder of an exclusive right that is allegedly infringed;
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the Owner to locate the material;
- Information reasonably sufficient to permit TrendMD to contact the notifying party, such as an address, telephone number, and, if available, an electronic mail;
- A statement that the notifying party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- A statement that the information in the notification is accurate, and under penalty of perjury, that the notifying party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
Failure to comply with all of the requirements outlined above may result in the invalidity of the DMCA notice.

Location
The Site and the Service are operated by TrendMD in Canada. Those who choose to access the Site, and/or the Service from locations outside Canada do so on their own initiative and are responsible for compliance with applicable local laws.
Submitted content
TrendMD does not claim ownership of any Content you make available through the Service. You must provide Content in the formats and according to the specifications required by TrendMD. Refer to our content guidelines here.
You agree that TrendMD may use your name, your co-authors' names, the publisher, and other relevant data from your Content in its marketing materials, websites, advertisements, news releases, or other publications to publicize these TOS and TrendMD's relationship with you.
TrendMD reserves the right to activate your campaign once funds are added to your account and the content has been approved by our team.
Reporting and terms of payment
Revenue share: If you choose to display Third-Party Promoted Content, TrendMD will provide an online reporting tool to track your earnings. Your earnings will accumulate as credits in your account. Every 30 days, TrendMD will calculate your earnings based on the number of credits and their monetary value. TrendMD will pay you within 30 days after the end of each month, but only if your total unpaid earnings reach at least $50.00.
Weekly subscription for traffic
If you choose to insert your Promoted Content, you will pay TrendMD the fees listed on the TrendMD Site at the time of purchase. Payment is made in advance for the visitors delivered to your Promoted Content. TrendMD will invoice you every Sunday at a rate of $1 per 1 traffic credit. You can cancel your Weekly Subscription for Traffic anytime via your reporting Dashboard on the TrendMD Site.
Each traffic credit equals one visitor to your Promoted Content. Your TrendMD reporting dashboard shows your current credit balance. If your credit balance reaches zero, your Promoted Content will no longer be featured on third-party sites using the TrendMD Service.
TrendMD will provide timely reports detailing the number of visitors delivered each day and the credits spent. Final monthly reports, which may differ from daily reports, will be the basis for TrendMD's invoices.
You may use your own tracking pixel. If there is a significant discrepancy (at least 10% lower) between your numbers and TrendMD's, both parties will work in good faith to determine the correct amount. If the discrepancy is less than 10%, TrendMD's numbers will be conclusive.
If TrendMD cannot deliver the Audience amount stated for your campaign, your remedies are to either (i) replace the Promoted Content with other approved content to complete the campaign or (ii) pay only for the visitors actually delivered. TrendMD is not liable for failure to deliver visitors.
Methods of payment
Information related to accepted payment methods is made available during the purchasing process.
Payment methods marked accordingly are managed directly by TrendMD. In this case, TrendMD collects and stores the data necessary for processing payments and fulfilling any legal obligation related to them. The User may read TrendMD's Privacy Policy to learn more about data processing and Users’ rights regarding their data.
Other payment methods – if any – are independently provided by third-party services. In such cases, TrendMD collects no payment information — such as credit card details — but only receives a notification from the relevant third-party provider once the payment has been successfully completed.
If payment through the available methods fails, TrendMD is under no obligation to fulfill the purchase order. If a payment fails or is refused, TrendMD reserves the right to claim any related expenses or damages from the User.
Liability and indemnification
Unless otherwise explicitly stated or agreed upon with Users, TrendMD’s liability for damages in connection with the execution of the Agreement shall be excluded, limited, and/or reduced to the maximum extent permitted by applicable law.
Indemnification
The User agrees to indemnify and hold TrendMD and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners and employees harmless from and against any claim or demand — including but not limited to lawyer's fees and costs — made by any third party due to or in relation with any culpable violation of these Terms, third-party rights or statutory provisions connected to the use of the Service by the User or its affiliates, officers, directors, agents, co-branders, partners and employees to the extent allowed by applicable law.
The above also applies to any claims exercised by third parties (including but not limited to TrendMD’s clients or customers) against TrendMD related to Digital Products provided by the User, such as conformity claims.
Limitation of liability
Unless otherwise explicitly stated and without prejudice to applicable law, Users shall have no right to claim damages against TrendMD (or any natural or legal person acting on its behalf).
This does not apply to damages to life, health, or physical integrity, damages resulting from the breach of material contractual obligations such as any obligation strictly necessary to achieve the purpose of the contract, and/or damages resulting from intent or gross negligence, as long as TrendMD has been appropriately and correctly used by the User.
Unless damages have been caused by intent or gross negligence or affect life, health, or physical integrity, TrendMD shall only be liable to the extent of typical and foreseeable damages at the moment the contract was entered into.
In particular, within the limits stated above, the TrendMD shall not be liable for:
- damages or losses resulting from interruptions or malfunctions of TrendMD due to acts of force majeure, or unforeseen and unforeseeable events and, in any case, independent of the will and beyond the control of the Owner, such as, but not limited to, failures or disruptions of telephone or electrical lines, the Internet and/or other means of transmission, unavailability of websites, strikes, natural disasters, viruses and cyber-attacks, interruptions in the delivery of products, third-party services or applications;
- any losses that are not the direct consequence of a breach of the Terms by TrendMD ;
- any loss of business opportunities and any other loss, even indirect, that may be incurred by the User (such as, but not limited to, trading losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, etc.);
- any damage, prejudice, or loss occurring due to viruses or other malware contained in or connected to files available for download from the internet or via TrendMD. Users are responsible for implementing sufficient security measures – such as anti-viruses and firewalls to prevent any such infection or attack and for securing backup copies of all data or information exchanged via or uploaded to TrendMD.
US Users
Disclaimer of Warranties
You acknowledge that TrendMD has no control over and no duty to take action regarding:
- Which users access the Service
- The effects of the Service on you, your website, or your equipment
- The accuracy or interpretation of the Service, including any loss of reputation or traffic
- Your actions as a result of using the Service.
TrendMD is provided strictly on an “as is” and “as available” basis. Use of the Service is at Users’ own risk. To the maximum extent permitted by applicable law, TrendMD expressly disclaims all conditions, representations, and warranties — whether express, implied, statutory or otherwise, including, but not limited to, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights. No advice or information, whether oral or written, obtained by the User from TrendMD or through the Service will create any warranty not expressly stated herein.
Without limiting the foregoing, TrendMD, its subsidiaries, affiliates, licensors, officers, directors, agents, co-branders, partners, suppliers, and employees do not warrant that the content is accurate, reliable, or correct; that the Service will meet Users’ requirements; that the Service will be available at any particular time or location, uninterrupted or secure; that any defects or errors will be corrected; or that the Service is free of viruses or other harmful components. Any content downloaded or otherwise obtained through the use of the Service is downloaded at Users' own risk, and Users shall be solely responsible for any damage to User’s computer system or mobile device or loss of data that results from such download or Users’ use of the Service.
TrendMD does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Service or any hyperlinked website or service, and TrendMD shall not be a party to or in any way monitor any transaction between Users and third-party providers of products or services.
The Service may become inaccessible or it may not function properly with Users’ web browser, mobile device, and/or operating system. The owner cannot be held liable for any perceived or actual damages arising from Service content, operation, or use of this Service.
Federal law, some states, and other jurisdictions do not allow the exclusion and limitations of certain implied warranties. The above exclusions may not apply to Users. This Agreement gives Users specific legal rights, and Users may also have other rights which vary from state to state. The disclaimers and exclusions under this agreement shall not apply to the extent prohibited by applicable law.
Limitations of liability
To the maximum extent permitted by applicable law, in no event shall TrendMD, and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees be liable for:
- any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service; and
- any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Service or User account or the information contained therein;
- any errors, mistakes, or inaccuracies of content;
- personal injury or property damage, of any nature whatsoever, resulting from User access to or use of the Service;
- any unauthorized access to or use of TrendMD’s secure servers and/or any and all personal information stored therein;
- any interruption or cessation of transmission to or from the Service;
- any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service;
- any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or
- the defamatory, offensive, or illegal conduct of any User or third party. In no event shall the Owner, and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees be liable for any claims, proceedings, liabilities, obligations, damages, losses, or costs in an amount exceeding the amount paid by User to TrendMD hereunder in the preceding 12 months, or the period of duration of this agreement between TrendMD and User, whichever is shorter.
This limitation of liability section shall apply to the fullest extent permitted by law in the applicable jurisdiction whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if the User has been advised of the possibility of such damage.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, therefore the above limitations or exclusions may not apply to the User. The terms give the User specific legal rights, and the User may also have other rights that vary from jurisdiction to jurisdiction. The disclaimers, exclusions, and limitations of liability under the terms shall not apply to the extent prohibited by applicable law.
Indemnification
The User agrees to defend, indemnify, and hold TrendMD and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees harmless from and against any and all claims or demands, damages, obligations, losses, liabilities, costs or debt, and expenses, including, but not limited to, legal fees and expenses, arising from
- User’s use of and access to the Service, including any data or content transmitted or received by User;
- User’s violation of these terms, including, but not limited to, User’s breach of any of the representations and warranties set forth in these terms;
- User’s violation of any third-party rights, including, but not limited to, any right of privacy or intellectual property rights;
- User’s violation of any statutory law, rule, or regulation;
- any content that is submitted from User’s account, including third-party access with User’s unique username, password, or other security measure, if applicable, including, but not limited to, misleading, false, or inaccurate information;
- User’s wilful misconduct; or
- statutory provision by User or its affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees to the extent allowed by applicable law.
Common provisions
No waiver
TrendMD’s failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision. No waiver shall be considered a further or continuing waiver of such term or any other term.
Service interruption
To ensure the best possible service level, TrendMD reserves the right to interrupt the Service for maintenance, system updates, or any other changes, informing the Users appropriately.
Within the limits of law, TrendMD may also decide to suspend or discontinue the Service altogether. If the Service is discontinued, TrendMD will cooperate with Users to enable them to withdraw personal data or information and will respect Users' rights relating to continued product use and/or compensation, as provided for by applicable law.
Additionally, the Service might not be available due to reasons outside TrendMD’s reasonable control, such as “force majeure” events (infrastructural breakdowns or blackouts etc.).
Service reselling
Users may not reproduce, duplicate, copy, sell, resell, or exploit any portion of TrendMD and of its Service without our express prior written permission, granted either directly or through a legitimate reselling program.
Changes to these Terms
TrendMD reserves the right to amend or otherwise modify these Terms at any time. In such cases, we will appropriately inform the User of these changes.
Such changes will only affect the relationship with the User from the date communicated to Users onwards.
The continued use of the Service will signify the User’s acceptance of the revised Terms.
If Users do not wish to be bound by the changes, they must stop using the Service and may terminate the Agreement.
The applicable previous version will govern the relationship prior to the User's acceptance. The User can obtain any previous version from us.
Assignment of contract
The Owner reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms, taking the User’s legitimate interests into account. Provisions regarding changes of these Terms will apply accordingly.
Users may not assign or transfer their rights or obligations under these Terms in any way, without the written permission of the Owner.

Severability
Should any provision of these Terms be deemed or become invalid or unenforceable under applicable law, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
US Users
Any such invalid or unenforceable provision will be interpreted, construed, and reformed to the extent reasonably required to render it valid, enforceable, and consistent with its original intent. These Terms constitute the entire Agreement between Users and us with respect to the subject matter hereof, and supersede all other communications, including but not limited to all prior agreements, between the parties with respect to such subject matter. These Terms will be enforced to the fullest extent permitted by law.
EU Users
Should any provision of these Terms be void, invalid, or unenforceable, the parties shall do their best to find an amicable agreement on valid and enforceable provisions, thereby substituting the void, invalid, or unenforceable parts.
If this is not done, the void, invalid, or unenforceable provisions shall be replaced by the applicable statutory provisions, if permitted or stated under the applicable law.
Without prejudice to the above, the nullity, invalidity, or impossibility to enforce a particular provision of these Terms shall not nullify the entire Agreement, unless the severed provisions are essential to the Agreement, or of such importance that the parties would not have entered into the contract if they had known that the provision would not be valid, or in cases where the remaining provisions would translate into an unacceptable hardship on any of the parties.
Governing law
This TOS is governed by and will be construed under the laws of the US and the State of California, without regard to conflict of law principles.
However, regardless of the above, if the law of the country that the User is located in provides for higher applicable consumer protection standards, such higher standards shall prevail.
